CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE USING THIS FOLLOWING AUDIO CONTENT. BY CLICKING "ACCEPT," YOU ARE ACCEPTING SUCH TERMS AND CONDITIONS. IF YOU DO NOT WISH TO BE BOUND BY SUCH PROVISIONS, YOU SHOULD CLICK "DECLINE" AND EXIT THE PROGRAM.
1. Ownership. The enclosed music and audio content (the "Content") is the copyrighted property of SSI and/or its licensors ("SSI") and is licensed (not sold) to you solely for use in connection with SSI SmartSound(R) Software. Such ownership interests are protected by U.S. and international copyright laws.
2. Limited License. You may adapt, synchronize, reproduce and distribute the Content only in conjunction with and as an integral part of multimedia works and/or multiform audio presentations created, adapted, edited or synchronized by you utilizing any SSI SmartSound(R) Software (your "Composition") and you may authorize others to perform, transmit or otherwise disseminate your Composition. You may not (a) distribute or otherwise use Content for any other purpose, or (b) perform, transmit or disseminate any Content except in your Composition. You are not required by this license to create or file "cue sheets" or pay broadcast fees or royalties with respect to any use or broadcast of your Composition; provided, however, if "cue sheets" are required for reasons independent of this license, SSI and/or its licensors shall be correctly identified thereon as composer and/or publisher, as applicable. Further, you agree to indemnify and hold harmless SSI from all costs and expenses arising or resulting from claims for royalties by ASCAP, BMI, SESAC or similar performing rights organizations related to any unauthorized use of any Content or any agreement or other arrangement to which SSI is not a party.
3. Warranty. SSI warrants the Content media to be free from defects in materials and workmanship for a period of sixty (60) days from the date of purchase. SSI will replace any such defective media returned to SSI during such warranty period, provided such defect is not the result of improper use or neglect, or if SSI is unable to do so, it will refund your price for such defective Content. Replacement (or refund) is the exclusive remedy for any such defects, and SSI shall have no liability for any other damages.
4. Termination. This Agreement is effective until terminated. You may terminate it at any time by destroying the original media copy of the Content and erasing all copies of the Content and your Composition in your possession or control. This Agreement also will terminate if you do not comply with any terms or conditions of this Agreement.
5. Agreement. This Agreement expresses the entire understanding between you and SSI, and supersedes all other oral or written communications relating to the Content. This Agreement shall be governed and construed under the laws of the State of California and subject to the exclusive jurisdiction of the courts Los Angeles County, California.
Federal law provides severe civil and criminal penalties for the unauthorized reproduction, distribution and exhibition of copyrighted music or audiotapes, discs or other media. Copyright infringement is investigated by the FBI and may constitute a felony with a maximum penalty of up to five years in prison and/or $250,000 fine.
